1.1. Rooter Sports Technologies Private Limited is a private limited company incorporated under the Companies Act, 2013, bearing CIN No. U74999DL2016PTC300035, having its registered office at House No. 55, First Floor, East of Kailash, Community Center, New Delhi - 110065 India (hereinafter referred to as the “Company”). The Company is engaged in the business of providing an esports and gaming technology platform for gamers across the world through the Company’s website and mobile application under the name of “ROOTER” (“Platform”). ”.
1.2. Any person who uses, visits, streams and/or creates content on the Platform (“User(s)”) shall have an option to purchase and/or earn diamonds developed by the Company and as available on the Platform of the Company (“Rooter Diamonds”).
1.3. These terms and conditions pertaining to Rooter Diamonds shall be referred to as“Rooter Diamond Terms”. Each User having Rooter Diamonds in his/her Account shall be bound by these Rooter Diamond Terms and the terms and conditions of the Company including but not limited to the Terms of Use and the Privacy Policy as available on the Platform (“Other Terms and Conditions”).
1.4. Rooter Diamonds, once purchased/ earned, shall be credited to the User’s virtual account as available on the Platform of the Company, once the User has duly registered himself/ herself on the Platform (“Account”). The User further agrees and understands that the Rooter Diamonds shall be available for use by a User solely and exclusively on the Platform and in accordance with these Rooter Diamond Terms and the Other Terms and Conditions.
2.1. Any User may directly purchase Rooter Diamonds from the the online digital marketplace hosted on the Platform under the name “Rooter Shop” (“Marketplace”), in accordance with the terms and conditions as provided under paragraph 3 of these Rooter Diamond Terms (hereinafter referred to as “Purchased Diamonds”).
2.2. In addition to the above, any User streaming on the Platform may also receive Rooter Diamonds in the form of donations from other Users, in accordance with the terms and conditions as specifically outlined under paragraph 4 of these Rooter Diamond Terms, or receive Rooter Diamonds from the Company as cashback upon undertaking any purchase on the Marketplace (“Earned Diamonds”). Purchased Diamonds and Earned Diamonds shall collectively be referred to as “Rooter Diamonds”.
2.3. It is further clarified that Rooter Diamonds shall only be eligible for donations to other Users on the Platform, therefore no User shall be permitted to donate Rooter Diamonds to himself/herself.
2.4. The Company reserves the right, at its sole discretion, to change the mode of use or Redemption (defined hereinafter) of Rooter Diamonds. Further, the Company reserves the right to disqualify any User from receiving or using Rooter Diamonds due to any reason including but not limited to fraud, suspicious activities or misuse of Rooter Diamonds.
2.5. Further, the Company reserves the right to discontinue, change or issue any new form of diamonds or Rooter Diamonds, or determine the applicability and validity of Rooter Diamonds, at any time, at its sole discretion.
3.1. The User agrees and understands that the sole purpose and use of Purchased Diamonds shall be to donate such Purchased Diamonds to other Users on the Platform. The User acknowledges that Purchased Diamonds may not be used or utilized for any other purpose.
3.2. The User, further, agrees and acknowledges that the Purchased Diamonds have no monetary value and do not constitute currency or property of any type. The Purchased Diamonds shall be used for donations only in accordance with these Rooter Diamond Terms and can never be sold, transferred, or exchanged for “real” money from the Company or anyone else. Further, the User, agrees that it will only obtain the Purchased Diamonds from the Company and through means provided by the Company, and not from any third party unless expressly authorized. When the User purchases the Purchased Diamonds from an authorized third party wherein the Company is not a party to the transaction, the Company shall have no liability whatsoever in this transaction.
3.3. It is hereby clarified that in no event shall the Company, its agents, representatives or employees request the User to transfer any amount for Purchased Diamonds to any personal bank account, or an account not held in the name of the Company. The User agrees and understands that if he/she transfers any amount against any such transaction to any bank account that is not legitimately held by the Company, the Company shall not, in any manner whatsoever, be held liable for the same.
3.4. The User shall be solely and completely responsible for all charges, fees, duties, taxes and assessments arising out of any transaction with respect to Purchased Diamonds on the Platform, as per applicable laws. The Company shall not be held liable for any costs incurred by the User including any third-party expenses arising out of or in connection with Purchased Diamonds.
4.1. A User may receive Earned Diamonds in the form of donations from other Users while streaming on the Platform of the Company. In the event a User donates Purchased Diamonds to another User streaming on the Platform, such Purchased Diamonds shall be deemed as Earned Diamonds. Such Earned Diamonds shall be credited to the Account of the User.
4.2. Once the User receives the Earned Diamonds, he/she may thereby use or utilize such Earned Diamonds either by (i) donating the Earned Diamonds to other Users in the form and manner as may be determined by the Company; or (ii) undertaking Redemption of the Earned Diamonds in accordance with paragraph 5 of these Rooter Diamond Terms.
5.1. The Earned Diamonds in the Account(s) of the User(s) shall be subject to redemption through a redemption-based payout mechanism on a monthly basis in the manner as provided hereinbelow (“Redemption”). For the purposes of Redemption, the Company shall initiate a one-time auto-request for redemption on the bank account of the User and upon validation of the same by the User, the Earned Diamonds shall be subject to Redemption upon completion of each calendar month.
5.2. The Users shall be entitled for Redemption of their Earned Diamonds in the following manner:
For every 100 (One Hundred) Earned Diamonds, a User shall be entitled to INR 7 (Indian Rupees Seven Only) unless otherwise agreed between the Company and the concerned User in writing. Provided that, for the purpose of calculating Earned Diamonds beyond 100 (One Hundred), 50 (Fifty) Earned Diamonds shall be the rounding off metric to the nearest 100 (One Hundred) Earned Diamonds, wherein (i) any number of Earned Diamonds above 50 (Fifty) shall be rounded off to the upper limit; and (ii) any number of Earned Diamonds equal to or less than 50 (Fifty) shall be rounded off to the lower limit.

5.3. In the event number of Earned Diamonds of a User are less than 100 (One Hundred) in any given calendar month, the said number of Earned Diamonds shall be carry forwarded in the Account of the User to the next calendar month and once the said number of Earned Diamonds is equal or more than 100 (One Hundred), then the same shall be available for Redemption.
5.4. Upon Redemption of Earned Diamonds, the relevant number of Earned Diamonds redeemed by a User shall be deducted from the Account of such User.
5.5. For the purpose of Redemption, the computation of the Earned Diamonds undertaken by the Company shall be final and binding.
5.6. The Company reserves the right, at its sole discretion to revise the manner of Redemption of Rooter Diamonds by a User including the amounts and rounding off metrics specified under these Rooter Diamond Terms.
5.7. The User agrees and acknowledges that the amount payable by the Company to the User upon Redemption shall be subject to deduction of all applicable taxes, in accordance with the applicable laws.
6.1. The Rooter Diamonds are provided by the Company on an “as is” basis without any warranty. The User agrees and acknowledges that Purchased Diamonds, once purchased, shall only be eligible for use on the Platform subject to Redemption and shall not be eligible for transfer, refund, or conversion to any other form of currency.
6.2. The Company reserves the right to restrict the use of the User’s Account and/or cancel any Rooter Diamonds in the event the User has breached these Rooter Diamond Terms, or for any other reason including but not limited to misuse of the Rooter Diamonds by the User, fraud committed by the User, gross negligence by the User or the User being involved in suspicious transactions/activities or any other reason as may be determined by the Company at its discretion. In the event the Account is deleted by a User, it is clarified that the Company reserves the absolute right to forfeit the Rooter Diamonds of such User.
6.3. For any requests, queries or grievances regarding Rooter Diamonds, Users may reach out to the Company at support@rooter.io
7.1. The Users shall not hold the Company, its directors, officers, employees, agents, and representatives responsible or liable for, any actions, claims, demands, losses, damages, costs, charges and expenses which a User claims to have suffered, sustained or incurred, or claims to suffer, sustain or incur, directly or indirectly, by way of and/or on account of including but not limited to acceptance, decline, or non-receipt of Rooter Diamonds.
7.2. The Users agree to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents, and representatives, from and against any claim, loss, damage, liability, cost, demand or expense arising out of, or in connection with (i) the User’s access to or use of the Platform and/or Rooter Diamonds; and/or (ii) a breach or violation of any laws by the Users.
Rooter Diamond Terms shall be governed by and construed in accordance with the laws of India. In the event any dispute or claim arises out of or in relation to these Rooter Diamond Terms including any dispute as to the existence or validity of these Rooter Diamond Terms and/or the Rooter Diamonds, the courts of New Delhi, India, shall have the exclusive jurisdiction to resolve any such dispute or claim.
The Company reserves the right to amend, or modify these Rooter Diamond Terms, at any time, at its sole discretion, without seeking the consent of or providing any prior notice to any User. In the event these Rooter Diamonds Terms are amended or modified by the Company, the Users shall be bound by such amended or modified Rooter Diamond Terms.
To effectively provide and introduce any new Services to you, we collect certain information such as your phone number, location and your name from you. We may further request and store additional information. Such information is stored securely on amazon web services or “AWS” cloud servers and the “Google Cloud Platform” cloud servers, thereby also subject to the terms of the AWS and Google Cloud privacy policy. While you do not have to use your actual name on our Platform, you are required to input your correct phone number and gender to use our Services. You will not falsely represent yourself as another person or representative of another person to use our Services. In the event you are operating a parody account for satirical or comedic purposes, you must state the same in your Rooter bio.
You will not lie about your details, including your age, for any reason.We have implemented measures to ensure that our Platform is secure. However, there is no guarantee that our Platform is immune to hacking and virus attacks. You will ensure that you have requisite anti-malware and anti-virus software on your mobile device and computer to ensure its safety. You will not allow any person to use your phone number, and not allow multiple accounts to be linked to your phone number. You will be responsible for all content posted by any account linked to your phone number.
While we do everything we can to secure your use of our Services, keep in mind that we cannot contemplate all forms of attack on our Platform. You should, as a matter of practice, ensure that your mobile device and computer are not used wrongly or tampered with in any way.Your usage of our Platform is governed by the Rooter Content and Community Guidelines. If any of our users report your content to be against the Rooter Content Community Guidelines, we may remove such content from our Platform. In the event that multiple reports are made regarding violation of the Rooter Content and Community Guidelines, we may be compelled to terminate your account with us and block you from registering with us. We may remove any content that is shared on our Platform if such content is prohibited under the Rooter Content and Community Guidelines.Our Platform is designed to accommodate a multiplicity of languages and cultures, as well as a diverse range of sports content. To this effect, we have developed various tags to classify the nature of the content. You must therefore, correctly identify the nature of the content shared by you and tag it appropriately. All mature content, including any violent content, is prohibited on `Rooter.
You shall not, however, use our Platform to share any content which is obscene, pornographic, harmful to minors, discriminatory, spreading hate speech, inciting any form of violence or hatred against any persons, or of seditious in nature, or violates any laws of the Republic of India, or is barred from being shared by any laws of the Republic of India. We reserve the right to remove such content. Please read the Rooter Content and Community Guidelines for further details.
In addition to the above, please note that we may share your information with appropriate law enforcement authorities if we have good-faith belief that it is reasonably necessary to share your personal data or information in order to comply with any legal obligation or any government request; or to protect the rights or prevent any harm to our property or safety, our customers, or the public; or to detect, prevent or otherwise address public safety, fraud, security or technical issues.You understand however, that we cannot be held responsible for any actions done by or to you by a third party or user by way of using our Platform.
We have developed a platform for people to come together; please do not share any content which is illegal or causes any harm to the well-being of members of the society or community.We strongly believe in the freedom of expression and allow you to share photographs, images, videos, music, status updates, and other content on our Platform. We do not have any ownership over any of the content shared by you and the rights in the content remain only with you. You will not use our Platform to violate or infringe upon our or any third-party’s intellectual property rights. Such content is against Rooter Content and Community Guidelines and may be removed from the Platform. Further, if you use any content developed by us, then we shall continue to own the intellectual property rights in such content.
By sharing/posting/uploading content using our Services, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, combine, edit, distribute, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). You may delete your content and/or account at any point. However, your content may continue to appear on the Platform if it has been shared with others. You remain solely responsible for the content you post on our Platform. We do not endorse and are not responsible for any content shared or posted on or through our Platform, and for the consequence of such sharing or posting. The presence of our logo or any trademark on any content shared by you does not mean that we have endorsed or sponsored your content. Further, we will not be liable for or responsible for the consequences of any transactions made or entered into by you with other users of the Platform.
You will always have ownership and responsibilities for the content you share. We will never claim that we have intellectual property rights over your content, but will have a free of cost, permanent license to use what you share and post on our Platform.We are an intermediary under the Information Technology Act, 2000 and the Information Technology Act (Intermediary Guidelines) Rules, 2011. These Terms are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing of the rules and regulations, Rooter Privacy Policy, and Rooter Terms of Use for accessing and using our Platform. Our role is limited to providing a platform to display the content shared by you and our other users.
We do not control what people do or say and are not responsible for their (or your) actions (whether online or offline). We are not responsible for services and features offered by others, even if you access them through our Services. Our responsibility for anything that happens on our Platform is strictly governed by the laws of the Republic of India and is limited to that extent. You agree that we will not be responsible for any loss of profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your content, information, or account.
We are an intermediary under Indian law. We do not control what people post on our Platform but we expect everyone to comply with the Rooter Content and Community Guidelines.We have developed a community-driven platform. Therefore, you agree to not interfere with, or use non-public areas of our Platform, Services, and our technical delivery system. You will not introduce any trojans, viruses, any other malicious software, any bots or scrape our Platform for any user information. Additionally, you will not probe, scan, or test the vulnerability of any system, security or authentication measures implemented by us. If you tamper or attempt to tamper with our technological design and architecture, we may terminate your user profile. We may further report such actions to the appropriate law enforcement authorities and proceed against you with legal actions.
You will not hack into or introduce malicious software of any kind onto our Platform. If you commit such actions, we may remove you from the platform and even have to report your actions to the police.You accept these Terms and give us certain permissions so that we can better serve you. While our Platform is a freely accessible and usable platform, we need to generate revenue so that we can keep offering you our Services for free. Pursuant to this, we may share your user name and gender, and any data that we may collect relating to your usage habits and patterns on our Platform to show you any sponsored content or advertisements. We will not, however, be liable to pay you any revenue share if you purchase any products advertised to you. We do not endorse any products or vouch for the authenticity of the products. Merely advertising of products by the users on our Platform does not amount to an endorsement by us.

Ad revenue helps us keep improving and providing our Platform and Services for free. To generate such revenue, we need to share certain information about the demographics and usage pattern of the users on Platform with third parties.
We are constantly updating our Platform and Services offered. To use our Platform, you may need to download the Rooter mobile application to your mobile device and update it from time to time.
Applications and software are constantly updated for your use and you will need to install the latest version of the Rooter mobile application to your mobile device each time such update is generated.We may use cookies, pixel tags, web beacons, mobile device IDs, flash cookies and similar files or technologies to collect and store information with respect to your use of the Services and third-party websites. This obligation will survive termination of our Terms.

All the content, including without limitation, content that is uploaded, posted, commented on, or shared by you on our Platform, must adhere to the laws of the Republic of India, including without limitation, the Indian Penal Code, 1860 and, the Information Technology Act, 2000 along with all rules and amendments made under such laws. We cooperate with legal authorities in cases of breach of applicable laws.
Remember, simply comply with the law and don’t do anything that could land you into trouble.We do not allow content that has any kind of sexual imagery, even if it is posted for artistic value, educational purposes, awareness, protest, humour or satirical purposes. Try to ignore any content that you may find petty and annoying. But do report any content that harasses another person or degrades or shames anyone.
Posting abuses or curse words, morphed images, malicious recordings, objectifying someone, making sexual advances or otherwise engaging in sexual misconduct will not be tolerated. Similarly, extorting or blackmailing any person is prohibited. If someone blocks you from their account, do not try to contact them from another account.
If, however, a matter involves a critical discussion of people featured in the news or who have a large public audience, we may allow it.

Be nice!Paintings, posters, photographs, advertisements, poems, limericks, sound recordings, musical compositions, lectures, articles, tele-series, movies, online videos, video games, computer software, plays, musicals, brands, affiliations, and other similar content, all are subject to intellectual property protection.
Copying content whose intellectual property rights are held by another person or organisation, and posting it as your own, is not allowed. If you want to reshare some content from within the Platform, do not remove attributions, watermarks and original captions. Also, please take permission and give due credits to your fellow user who creates such content by mentioning their name.
If you are creative, your work will be protected. If you want to use or share anyone’s work, take permissions and give credits.This includes all content that causes discomfort to our users due to the goriness in the content, such as graphical images or videos that glorify violence, or intends to incite violence, or encourages dangerous and illegal activities, or praises groups or leaders involved in terrorism, organized violence or criminal activities.
Post violent content only if your intent is to provide information, education or spread awareness. Warn your audience!Content that intimidates any person or promotes violent behaviour, targets or demeans any particular religion, caste, ethnicity, community, disability (physical or mental), age or gender, is prohibited. Any kind of content which produces hatred or has the intention of creating or spreading hatred or hate propaganda along the lines of religion, caste, ethnicity, community, age or gender is also not allowed.
Refrain from incendiary commentary and publishing theories that may appall our users and influence them negatively.
We encourage that you express your opinion, but think before you write. Remember that this is a social platform!Posting any content that relates to physical, sexual, or psychological maltreatment, neglect or abuse of a person, be it that of a child or an adult, is prohibited. Posts showcasing self-harm, injury or suicide or provoking anyone to commit self-harm are also not allowed. Further, posts that identify, tag and negatively target victims or survivors of abuse, self-injury or domestic or similar violence are also prohibited.
Foster some care in the society and maintain our supportive environment.We have zero-tolerance for content or activities that advocate or promote illegal activities. Content related to organized crime, violence or terrorist activities is not allowed. Sale of illegal goods or services, regulated goods, drugs, and soliciting or selling of sexual services is strictly forbidden.
Do not post tutorials or instructions on content that educates the users on illegal activities (such as making bombs or doing drugs). Do not use our Platform to solicit or facilitate any transaction or gift involving goods and services which are declared illegal by the Government of India
Impersonating another person (such as your friends, celebrities or brands) and distributing false or misleading information on our Platform to make personal or financial gains is fraud.
Rooter does not let you conduct any activities that law prohibits.Any kind of personal content of another person, including pictures or videos of people who will not appreciate such material being posted, is not allowed. Basically, do not post anyone’s personal or intimate photos or videos without their permission or consent. We will remove such content without question.
Revealing someone’s personal data or sensitive personal data, including without limitation, phone number, address, financial information, Aadhar Number, and Passport information, or threatening someone using this information, will be considered as harassing them, and such activities are unacceptable.
Other people’s personal information is not yours to share.False advertisements, fraudulent or misleading representations and security breaches, all fall under the ambit of commercial spam. They deter other users from sharing and connecting. It is important that the content you share be authentic and help create a safe environment for people to post on the Platform. Do not post the same content multiple times if it intends to annoy viewers or sell goods/services or gain followers.
If you want to promote your goods or services, do so in a civilized manner adhering to our Content Marketing Policies.
Allow your friends and other users to use the Platform the way you would like to use it. Don’t spam!Any kind of content which spreads deliberate misinformation, hoaxes or fake propaganda, with the intent to mislead, is not permitted. We prohibit the posting of content that exaggerates an existing piece of news by introducing non-factual elements into it.
If you intend to mislead our users or attempt to create a sensation by straight-up fabricating content, or attempt to damage someone’s reputation, or hurt their financial or political standing on the basis of false information, we will not let it spread on our Platform.
Don’t worry though. We don’t confuse fake news with any satire or parodies. We know they are to amuse, and not to mislead.
If you have posted something equivalent to fake news, whether intentionally or unintentionally, remove it as soon as possible. This keeps the Platform clean and makes it easier to use, making it simple for you and your user friends to navigate the Platform.
All posts should be tagged with the most appropriate tag. If such a tag doesn’t exist, then please reach out to the team and we will create one. Any content posted with an irrelevant or inapplicable tag, if reported, will be removed from the feed.
Rooter is a very active platform. Many posts go up, many discussions take place. Make sure that any content that you post, and any discussion you participate in, relates to the caption and tags of the post. Content that does not relate to the captions or tags, or is unreasonable for a particular post, will be removed. Don’t go off-track.
We expect you to conduct yourself with integrity and harmoniously on our Platform. Show courtesy and respect to fellow users. Don’t be rude. We advise you to not initiate or participate in any activity which is not in good faith for the community at large.
Creating a fake profile of someone or impersonating someone in a misleading or deceiving manner, with or without the intention of harassing or bullying them, is not allowed. Community profiles, informative profiles and fan profiles of public figures may be allowed. Satire or parody accounts of public figures are acceptable if it has been clearly mentioned in the profile description or profile status.
Rooter is a multilingual platform. Certain words that may seem acceptable to you, when translated to another tongue, may become offensive. We do not ask that you translate and test every post into all the different languages. All we ask is that you weigh your words carefully. Content that contains profanity that is used to insult, antagonize or inflame other users will be held for review. Depending on the context of the post, it may be removed.
Harassing someone or using abuses in the posts or comments while addressing a user is not allowed. Do not do anything which can make any other users feel that Rooter is not a safe platform to use. Action will be taken against you if you try to create hostile situations for any other user.
Unawareness of law is not an excuse. Note that for using our Platform, you will need to comply with laws that govern online conduct. Respect all applicable laws while using our Platform. Any activity featuring, encouraging, offering or soliciting illegal activities will not be tolerated.
Our decision to suspend any account is binding. Any attempt to circumvent the suspension by using other accounts, identities, personalities or presence on another user's account will also result in suspension. If you try to evade suspension, we may be compelled to terminate your account with us and block you from registering with us.
When you see any content or activity that violates these Guidelines, please reach out to us at support@rooter.io . We will get a notification and will process your request. If we find the content or activity to be unsuitable for our Platform, we will remove it.
We are an intermediary. We do not control what our users do or say and are not responsible for their (or your) actions (whether online or offline). We are not responsible for services and features offered by others even if you access them through our Services. Our responsibility and liability for anything that happens on our Platform is strictly governed and limited by the laws of the Republic of India.
We expect you to be responsible for what you post and what you see. If any of our users report your content to be against these Guidelines, we may remove such content from our Platform. It takes some
Time to take down such content, so please bear with us. In case the content you upload or post, or your activity is reported by another user and removed from our Platform, and you believe that your content has been unfairly removed, you may write to us at support@rooter.io to challenge the removal. We may review the content again and determine if it may be reposted on the Platform.
We take action against those who violate these Guidelines. If your profile is reported for violating these Guidelines, then your profile may be suspended temporarily for up to 360 (three hundred and sixty) days. In case of repeated breach of these Guidelines, we may be compelled to terminate your account with us and block you from registering with us.
If required, we will cooperate with legal authorities and note that we are under no duty to assist you.
We have a Grievance Officer (Mr. Akshay Kothari) to address your concerns regarding data safety, privacy, and Platform usage concerns. We acknowledge your grievances within 24 hours (of receipt of the grievance) and will resolve the issues raised by you within 15 (fifteen) days from receiving them.
